By accessing or using our website, requesting a catalogue, submitting an inquiry, or entering into any business relationship with Mubu Beauty Group, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not have such authority, or if you do not agree with these Terms, you must not access or use our services.

Mubu Beauty Group provides global B2B beauty and personal care solutions, including but not limited to:

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to existing partners.

Our services are intended exclusively for business-to-business (B2B) use. By using our services, you represent and warrant that:

• You are a duly registered business entity, retailer, distributor, or authorised trade representative.
• You are at least 18 years of age and have the legal capacity to enter into binding contracts.
• Your use of our services complies with all applicable local, national, and international laws and regulations in your jurisdiction.
• You are not prohibited from receiving our services under the laws of any applicable jurisdiction.

All orders placed with Mubu Beauty Group are subject to the following conditions:

• Minimum Order Quantities (MOQ): MOQ requirements vary by product category, customisation level, and programme type (OEM/ODM/Private Label). Specific MOQs will be confirmed in individual quotations and purchase agreements.
• Order Confirmation: Orders are only binding upon written confirmation from both parties. Catalogue requests and enquiries do not constitute a binding order.
• Samples: Sample requests may be subject to sampling fees and lead times. Sample approval is required before full production commences.
• Production Lead Times: Lead times are estimates and may vary based on product complexity, customisation requirements, and supply chain conditions. We are not liable for delays caused by circumstances beyond our reasonable control.
• Cancellations: Once production has commenced, orders may not be cancelled without written consent and may be subject to cancellation fees covering incurred costs.

All content on this website, including but not limited to text, graphics, logos, images, product designs, and trade dress, is the property of Mubu Beauty Group or its licensors and is protected by applicable intellectual property laws.

Licensed IP Products: We work with major intellectual property licensors including Disney, Snoopy/Peanuts, Peppa Pig, Paw Patrol, My Little Pony, Moomin, and The Grinch. Any products developed under these licenses are subject to strict licensing agreements. Partners must not reproduce, distribute, or create derivative works from licensed IP without explicit written authorisation from both Mubu Beauty Group and the relevant IP holder.

Client-Owned IP: For OEM and private label programmes, clients retain ownership of their brand assets provided to us. By submitting brand materials, you grant us a limited licence to use such materials solely for the purpose of fulfilling your order.

Our Proprietary Formulations: Formulations developed by our R&D team remain our intellectual property unless otherwise agreed in a separate written agreement.

We maintain rigorous quality standards and regulatory compliance across all markets we serve. Our manufacturing partners hold the necessary certifications required for each target market.

Partners are responsible for ensuring that products comply with all applicable regulations in their specific distribution markets. We provide regulatory documentation and support as agreed in individual service contracts.

Both parties acknowledge that in the course of business, each may disclose confidential information to the other, including but not limited to product formulations, pricing structures, business strategies, client lists, and proprietary processes.

Each party agrees to:

• Hold all confidential information in strict confidence and not disclose it to any third party without prior written consent.
• Use confidential information solely for the purposes of fulfilling obligations under the business relationship.
• Protect confidential information with at least the same degree of care used to protect its own confidential information, but no less than reasonable care.

These confidentiality obligations survive the termination of any business relationship for a period of five (5) years.

Payment terms are agreed upon individually for each client and order, and will be specified in the relevant purchase order or service agreement. General payment conditions include:

• Deposit: A deposit (typically 30-50%) is required upon order confirmation to initiate production. The exact percentage will be stated in the purchase agreement.
• Balance Payment: The remaining balance is typically due prior to shipment or upon delivery, as agreed in writing.
• Currency: All transactions are conducted in USD unless otherwise agreed in writing.
• Late Payments: We reserve the right to charge interest on overdue amounts at the rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower.
• Taxes & Duties: Clients are responsible for all applicable import duties, taxes, and customs fees in their respective countries.

To the maximum extent permitted by applicable law, Mubu Beauty Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, or loss of business opportunity, arising out of or in connection with these Terms or our services.

Our total cumulative liability to you for any claims arising out of or related to these Terms or our services shall not exceed the total amount paid by you to us in the three (3) months immediately preceding the event giving rise to the claim.

These Terms shall be governed by and construed in accordance with the laws applicable to the jurisdiction of the Company's registered office, without regard to conflict of law principles.

For clients in specific markets, the following additional provisions may apply:

Both parties agree to attempt to resolve any dispute through good-faith negotiation before initiating formal proceedings. Written notice of a dispute must be provided, with a 30-day resolution period before escalation.

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify registered business partners via email.

Your continued use of our website or services after any changes to these Terms constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed of any updates.

If you do not agree to the modified Terms, you must discontinue your use of our services and notify us in writing within 30 days of the change notification.
